Terms of Service

1. Acceptance of Terms

By accessing or using Squeaky Wheel (“the Service”), operated by Squeaky Wheel (“we,” “us,” or “our”) at getsqueakywheel.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using Squeaky Wheel, you also agree to our Privacy Policy, which describes how we collect, use, and protect your information.

2. Description of Service

Squeaky Wheel is a persistent reminder and follow-up application. The Service allows you to:

  • Create reminders (“squeaks”) using natural language, which are parsed by AI to build automated reminder sequences.
  • Send persistent reminders to yourself or others via email, SMS, phone calls, and social media channels.
  • Send kindness messages (“grease”) — positive, appreciative follow-ups to people in your life.
  • Manage reminders across free and paid subscription tiers with varying features and channel access.

The Service uses artificial intelligence to interpret your natural language inputs and generate appropriate reminder content and schedules. While we strive for accuracy, AI-generated content may occasionally require your review and adjustment.

3. Account Registration

To use most features of Squeaky Wheel, you must create an account. When registering, you agree to the following:

  • Age requirement — you must be at least 13 years of age to create an account and use the Service. If you are under 18, you represent that you have your parent or guardian's consent.
  • Accurate information — you agree to provide truthful, accurate, and complete information during registration and to keep your account information up to date.
  • Account security — you are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
  • One person, one account — each account is for a single individual. You may not share your account credentials with others or create multiple accounts for the same person.

4. Acceptable Use

Squeaky Wheel is designed for legitimate, good-faith reminders and follow-ups. You agree not to use the Service to:

  • Harass or intimidate — send reminders intended to bully, threaten, stalk, or emotionally abuse any person.
  • Spam — send unsolicited bulk messages, commercial advertisements, or promotional content to people who have not consented to receive them.
  • Engage in illegal activity — use the Service to facilitate any activity that violates local, state, national, or international law.
  • Make threats — send messages containing threats of violence, harm, or any form of coercion.
  • Impersonate others — misrepresent your identity or affiliation when sending reminders.
  • Circumvent protections — attempt to bypass rate limits, abuse detection systems, or any other safeguards we implement.
  • Interfere with the Service — disrupt, damage, or impair the functionality of the Service or its infrastructure.

Persistent reminders must be for legitimate purposes — such as following up on an unpaid invoice, reminding someone about a commitment, or nudging yourself to complete a task. We reserve the right to suspend or terminate accounts that we reasonably determine are misusing the Service.

5. User Content

You retain ownership of all content you create, upload, or provide through the Service, including reminder text, contact information, and any other materials (“User Content”).

By using the Service, you grant Squeaky Wheel a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit your User Content solely for the purpose of operating and delivering the Service to you. This includes sending your reminder messages to the intended recipients via the channels you select, and processing your content through our AI systems to generate reminder sequences.

This license ends when you delete your User Content or your account, except where your content has already been delivered to recipients or where we are required by law to retain it.

6. Contact Consent and Responsibility

Important: Your responsibility regarding third-party contacts

When you add another person's contact information to Squeaky Wheel, you represent and warrant that you have a legitimate reason to contact that person and that your use of the Service to reach them is lawful and appropriate.

By adding a third party's contact information (email address, phone number, or social media handle) to the Service, you represent and warrant that:

  • You have a pre-existing relationship or legitimate basis for contacting the person.
  • Your reminders are related to a genuine obligation, commitment, or reasonable request.
  • You have obtained any necessary consent or permission required by applicable law to contact the person through the selected channels (email, SMS, phone call, or social media).
  • You will promptly honor any request from a recipient to stop receiving messages and will remove them from your reminders.

Squeaky Wheel acts as a tool to deliver messages on your behalf. You, not Squeaky Wheel, are solely responsible for ensuring your use of the Service to contact others complies with all applicable laws, including anti-spam legislation, telemarketing regulations, and privacy laws. We reserve the right to suspend your account if we receive complaints about your messages or have reason to believe you are contacting people without proper basis.

7. Subscription and Billing

Squeaky Wheel offers the following subscription tiers:

Free

Up to 3 active squeaks (reminders). Email delivery only. No credit card required.

Pro — $9.99/month

Unlimited squeaks. All delivery channels: email, SMS, phone calls, and social media.

Team — $7.99/person/month

Everything in Pro, plus shared workspaces, team management, and consolidated billing.

By subscribing to a paid plan, you agree to the following billing terms:

  • Recurring billing — paid subscriptions are billed monthly on the anniversary of your subscription start date. You authorize us to charge your payment method on a recurring basis.
  • Price changes — we may change subscription pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period.
  • Cancellation — you may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to paid features until then.
  • Refunds — subscription fees are generally non-refundable. If you believe you have been charged in error, contact us within 30 days of the charge.
  • Downgrade — if you cancel a paid plan or your payment fails, your account will revert to the Free tier. Active squeaks beyond the Free tier limit will be paused, not deleted.

8. Intellectual Property

The Service, including its design, code, graphics, logos, the Squeaky Wheel name, and all related intellectual property, is owned by Squeaky Wheel and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

You own your data. All User Content remains your property, and we claim no ownership over the reminders, messages, or contact information you provide. Our license to your User Content is limited strictly to operating and delivering the Service as described in Section 5.

9. Limitation of Liability

To the fullest extent permitted by law, Squeaky Wheel and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:

  • Recipient reactions — how any recipient responds to, perceives, or acts upon reminders sent through the Service. You acknowledge that persistent reminders may not be welcomed by all recipients, and Squeaky Wheel bears no responsibility for any interpersonal, legal, or professional consequences resulting from messages you send.
  • Service interruptions — temporary or permanent disruptions to the Service, including failed or delayed message delivery, server downtime, or third-party service outages.
  • AI-generated content — inaccuracies, errors, or unintended meanings in content generated or interpreted by our AI systems.
  • Data loss — loss of data or content due to technical failures, though we take reasonable measures to prevent this.
  • Third-party actions — actions taken by third-party service providers (email, SMS, phone, or social media platforms) that affect message delivery or your account.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms. Grounds for termination include but are not limited to:

  • Violation of the Acceptable Use policy (Section 4).
  • Repeated complaints from recipients of your reminders.
  • Using the Service for harassment, threats, or illegal activity.
  • Providing false information during registration.
  • Failure to pay subscription fees after reasonable notice.

You may delete your account at any time through your account settings or by contacting us at hello@getsqueakywheel.com. Upon deletion:

  • All active reminders will be immediately cancelled.
  • Your personal data will be deleted within 30 days, except where we are legally required to retain it.
  • Any remaining subscription period will not be refunded unless required by law.

11. Changes to Terms

We may update these Terms of Service from time to time. When we make changes, we will update the “Effective date” at the top of this page. For material changes, we will notify you by email or through a prominent notice in the app at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service and delete your account.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action.
